Terms of Service

These Terms of Service (“Terms”) govern your access to and use of inc-sys.com (the “Site”), which is operated by inc-sys IT Services, LLC (“inc-sys,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Website information; no service engagement

The Site provides general information about inc-sys, technology topics, and services we may offer. Site content is for general informational purposes and is not professional, cybersecurity, legal, financial, or compliance advice. Your use of the Site, submission of a contact request, or receipt of a response does not by itself create a client, advisory, fiduciary, or other professional relationship.

Any managed services, consulting, assessment, project, support, or other professional services will be governed by a separate written agreement. If these Terms conflict with a signed services agreement concerning those services, the signed agreement controls.

Eligibility and authority

You must be legally able to enter into these Terms. If you use the Site on behalf of a business or other organization, you represent that you are authorized to bind that organization to these Terms.

Permitted use

You may use the Site only for lawful purposes. You may not:

• violate any applicable law or another person’s rights;
• submit false, misleading, infringing, unlawful, or malicious content;
• attempt to gain unauthorized access to the Site, accounts, systems, or networks;
• probe, scan, disrupt, overload, or interfere with the Site or its security controls;
• introduce malware, harmful code, automated abuse, spam, or excessive requests;
• scrape or use automated means to access the Site in a manner that burdens our systems or circumvents access controls; or
• impersonate another person or misrepresent your affiliation.

We may restrict or block access when we reasonably believe use violates these Terms, threatens security, or interferes with the Site.

Contact forms and communications

You are responsible for ensuring information you submit is accurate and that you have the right to provide it. Do not submit passwords, private keys, financial account numbers, regulated health information, or other highly sensitive information through the general contact form. Electronic communications are not guaranteed to be secure or error-free.

SMS program

Participation in our non-marketing SMS program is also governed by the SMS Terms and Conditions and SMS Privacy Policy. If those terms conflict with these Terms regarding the SMS program, the SMS-specific terms control.

Intellectual property

The Site and its original text, graphics, branding, design, software, and other content are owned by inc-sys or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for your internal informational and business-evaluation purposes. No other rights are granted.

You may not reproduce, modify, distribute, sell, license, remove ownership notices from, or create derivative works from Site content without prior written permission, except as allowed by law.

Third-party content and links

The Site may link to or discuss third-party websites, publications, products, or services. Links are provided for convenience and do not necessarily imply endorsement. We do not control third-party content, availability, security, terms, or privacy practices. Your use of third-party services is at your own risk and subject to their terms.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INC-SYS AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless inc-sys and its members, officers, employees, contractors, and agents from claims, damages, losses, liabilities, and reasonable costs arising from your unlawful use of the Site, your violation of these Terms, or content you submit through the Site.

Governing law and venue

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Any legal action arising from or relating to the Site or these Terms must be brought exclusively in the state or federal courts located in or serving DuPage County, Illinois, and you consent to their personal jurisdiction and venue.

Changes and availability

We may change, suspend, or discontinue any part of the Site and may update these Terms from time to time. Revised Terms will be posted here with an updated effective date. Your continued use of the Site after revised Terms take effect constitutes acceptance of those Terms.

General terms

If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a reorganization, merger, or transfer of our business. These Terms, together with policies expressly incorporated into them, are the entire agreement concerning use of the Site.
